These Terms of Service, together with any amendments, order forms, and any additional agreements you enter into with intelliRecruit GmbH (“intelliRecruit,” “we,” “our”), collectively referred to as the “Terms,” exclusively govern your access to and use of our intelliRecruit Applicant Tracking System (the “Service”). The Terms apply to you if you hold an account, purchase the Service, or otherwise use the Service. Please read them carefully before using the Service.
By accessing, using, and/or ordering the Service, you warrant that you are authorized to do so and agree to be bound by these Terms. If you are using the Service on behalf of an organization or legal entity (“Organization”), you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind that Organization to these Terms. In such a case, “you” and “your” refer to both you and that Organization.
The Service is offered on a software-as-a-service (SaaS) subscription basis, subject to these Terms. intelliRecruit retains all rights to the Service. We reserve the right to modify, suspend, or terminate the Service at any time, including to perform essential maintenance or updates, address any misuse, or in case of non-payment. We may impose bandwidth usage limits at our sole discretion.
You acknowledge and agree that the Service may interact with third-party services (“Third Party Services”). intelliRecruit is not responsible for the operation of these Third Party Services. You are solely responsible for obtaining the necessary rights to access any Third Party Services and complying with their terms and conditions.
You shall pay the fees for the Service as specified in the applicable order form or agreement. All fees are exclusive of applicable taxes, which you agree to pay. Payments are due within 30 days of the invoice date unless otherwise agreed. If payment is not made on time, intelliRecruit reserves the right to suspend your access to the Service and charge interest on overdue amounts at the maximum rate permitted by Swiss law.
Your use of the Service may be subject to usage limitations, including the number of authorized users and bandwidth. You agree to maintain accurate records of your usage. intelliRecruit reserves the right to monitor your actual usage and charge additional fees if you exceed agreed usage limits.
You may upload, create, or input data, information, or other materials (collectively, "Content") into the Service. You are fully responsible for all Content, including its accuracy and legality. intelliRecruit disclaims any responsibility for Content uploaded by users and is not liable for any loss or damage resulting from the use of such Content.
You agree not to upload Content that is illegal, harmful, offensive, or violates third-party rights, including intellectual property or privacy rights. intelliRecruit reserves the right to remove or reject any Content that it deems, in its sole discretion, to violate these Terms.
By using the Service, you grant intelliRecruit a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute your Content solely to provide the Service. You represent that you have all necessary rights to grant this license. intelliRecruit may work with third-party service providers to deliver the Service and extend these rights to such providers.
You agree to use intelliRecruit responsibly and comply with all applicable laws. You may not:
• Use the Service for illegal purposes or to promote unlawful activities.
• Post content that infringes on the intellectual property rights of others.
• Impersonate others or misrepresent your affiliation with a person or entity.
• Send spam or malicious content.
• Interfere with or disrupt the Service or its associated networks.
intelliRecruit reserves the right to suspend or terminate your account if you violate these Terms
When creating an account with intelliRecruit, you must provide accurate and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and are liable for any actions taken under your account. If you become aware of any unauthorized access to your account, you must notify intelliRecruit immediately.
intelliRecruit provides technical support during Swiss business hours, Monday through Friday (excluding public holidays), via email or through the platform’s in-app messaging system. We strive to respond to support requests within 24 hours.
Both parties may exchange confidential information during the use of the Service. Confidential information includes any non-public information marked as confidential or which should reasonably be understood as confidential. The receiving party agrees not to disclose or use confidential information for purposes other than providing or using the Service.
Confidentiality obligations remain in effect even after termination of these Terms.
All intellectual property rights related to the intelliRecruit Service are owned by intelliRecruit GmbH or its licensors. These Terms do not grant you any rights to use intelliRecruit trademarks, logos, or other proprietary content. Any feedback or suggestions you provide are voluntary, and intelliRecruit may use them without obligation to you.
intelliRecruit complies with Swiss data protection laws, including the Federal Act on Data Protection (FADP), and the EU General Data Protection Regulation (GDPR) where applicable. For details on how we collect, use, and protect personal data, please refer to our Privacy Policy.
We take reasonable measures to protect your data, including the use of technical and organizational safeguards. However, you are responsible for ensuring the accuracy and legality of the personal data you provide to the Service.
The Service may contain links to third-party websites or services. intelliRecruit is not responsible for the content or practices of these third-party services. Your use of any third-party service is at your own risk and subject to that third party’s terms and conditions.
We reserve the right to modify these Terms at any time. If we make changes, we will notify you by posting the updated Terms on our website. By continuing to use the Service after the changes take effect, you agree to be bound by the revised Terms.
To the fullest extent permitted by Swiss law, you agree to indemnify and hold intelliRecruit GmbH, its officers, employees, and affiliates harmless from any claims, liabilities, or expenses arising out of your use of the Service or violation of these Terms.
The Service is provided “as is,” without any warranties of any kind, express or implied. intelliRecruit GmbH does not warrant that the Service will be uninterrupted, secure, or free from errors. You use the Service at your own risk.
To the fullest extent permitted by law, intelliRecruit GmbH will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claims relating to the Service will not exceed the amount you paid to intelliRecruit GmbH in the last three months preceding the claim.
These Terms are governed by the laws of Switzerland. Any disputes arising out of or related to these Terms shall be resolved exclusively in the courts of Zurich, Switzerland.

These Terms constitute the entire agreement between you and intelliRecruit GmbH. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
You may not assign or transfer your rights under these Terms without our prior written consent. intelliRecruit GmbH may assign or transfer its rights without restriction.
